Welcome to Inity Pro. This Terms of Service Agreement (“Agreement”) governs your access to and use of our consulting, advisory, integration, and management services (“Services”). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use our Services.

Inity Pro reserves the right to update these Terms of Service at any time.

1. Acceptance of Terms

By engaging with the Services provided by Inity Pro, you agree to these Terms of Service, our Privacy Policy, and any other legal agreements governing your use of the Services. These terms constitute a legally binding agreement.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using our Services, you represent that you meet this eligibility requirement.

3. Services Provided

Inity Pro provides consulting, advisory, integration, and management services for businesses. The specifics of these services will be outlined in the agreements or contracts entered into with each client.

4. Payment Terms and Refund Policy

Payments Finality:
All payments made to Inity Pro are final and non-refundable, in accordance with U.S. and South African law, except where otherwise required by applicable consumer protection statutes.

Annual Subscriptions and Discounts:
Payments for annual subscriptions, including any associated discounts, are non-refundable under any circumstances. By making an annual payment, you agree to commit to the full term of the subscription.

No Refunds for Services Rendered:
Due to the nature of our services, refunds will not be provided once a payment has been processed. This policy ensures the sustainability of our operations and the availability of our resources for clients.

5. Right to Terminate Relationship

Inity Pro reserves the right to terminate any client relationship at our sole discretion, including but not limited to instances where continuing the relationship would conflict with our moral or ethical standards. In such cases, written notice will be provided, and no refunds will be issued for payments already made.

6. Client Responsibilities

You agree to:

Provide accurate and timely information to facilitate the delivery of Services.

Comply with all applicable laws and regulations in connection with your use of our Services.

Use the Services only for lawful business purposes.

7. Prohibited Activities

You agree not to:

Engage in any activities that are illegal or unethical while using our Services.

Misuse the Services, including but not limited to attempting to interfere with their functionality or security.

Attempt to reverse-engineer, decompile, or replicate proprietary tools or methodologies used in our Services.

8. Intellectual Property

All content, methodologies, tools, and materials associated with Inity Pro are owned or licensed by us. You may not reproduce, distribute, or create derivative works without express written permission.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Inity Pro shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Inity Pro, its affiliates, and employees from any claims, damages, liabilities, or expenses arising from your use of the Services or violation of this Agreement.

12. Termination of Services

We reserve the right to suspend or terminate the provision of Services at any time if you fail to comply with these terms, for reasons related to our moral or ethical standards, or at our sole discretion. In such cases, no refunds will be provided.

13. Sub Account Ownership
Clients retain access to their Inity sub account for the duration of their paid subscription. During this period, clients may export contacts and any data available to them under their user permissions.

14. Migration Policy (Industry Standard)

Across the CRM and marketing automation industry, the platform or provider a client is leaving does not migrate the client’s full system into a new environment. This standard applies to all major CRMs and platforms, including but not limited to:

- Go High Level

- Follow Up Boss

- Brivity

- KVCore

- Chime

- Sierra

- HubSpot

- Salesforce

In all cases, migration responsibility falls on: The client, the client’s new CRM, platform, or agency, or a paid migration service

This ensures proper configuration, data integrity, and compliance with the new provider’s system structure. It reflects the industry norm that the receiving party, not the departing platform, handles the rebuild or migration.

15. Account Transfers

Inity does not transfer, migrate, or recreate any system components into another CRM, platform, direct subscription, or Go High Level account. This includes:

Sub accounts

Funnels and landing pages

Websites built inside Inity

Automations, workflows, and sequences

Pipelines and opportunity stages

Calendars and booking systems

Forms, templates, and assets

Integrations, triggers, settings, or custom actions

Any internal system architecture

Account configuration or structure

These components are part of the Inity platform environment and are not transferable between providers, accounts, or systems.

16. Migrations into Inity

When clients move from another CRM or Go High Level account into Inity, any account setup, rebuild, or migration is handled as a paid service. This is consistent with how all major CRM platforms and SaaS providers operate, as migrating a full system requires manual work, technical configuration, and expert oversight.

17. Platform Access After Cancellation

Access to the Inity platform ends at the conclusion of the client’s billing cycle. Once access ends:

No additional exports can be completed

No system components can be retrieved

No account visibility or downloads can be provided

No migrations or transfers can occur

This aligns with standard offboarding practices across all major CRM and SaaS platforms.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and South Africa. Any disputes arising under this Agreement shall be resolved in the courts of these jurisdictions, as applicable.

19. Amendments

We reserve the right to update or modify this Agreement at any time. Changes will be effective immediately upon posting. Your continued use of the Services constitutes acceptance of the revised terms.
